Anthony (Tony) Ruben, CPA- Managing Director
Anthony Ruben, CPA, CGMA, MBA. Tony has significant financial, operational and international experience, including serving as President, CFO and COO of dynamic public, private and PE owned companies, as the MD of a management consulting firm (growth & turnarounds) and as an investment banker. Tony has completed over 60 transactions ($2+ billion), including raising capital (debt and equity), domestic and international M&A and IPO’s. Mr. Ruben increases profitability, cash flow, enterprise value and strategic clarity.
Mr. Ruben is most effective with dynamic companies- those experiencing strong growth, financial challenges and those wanting to position for optimal sale value.
In recent years, Mr. Ruben successfully led the financial recapitalization and materially increased operating performance and cash flow for a diversified real estate developer/resort operator, a transportation company, a rapidly growing software enterprise, an international telecom firm and a convention services/custom fabrication company. These firms were often privately owned, backed by Private Equity and dynamic in nature. In one case, following Mr. Ruben’s sale of the company to a Private Equity firm, the PE acquiror requested Tony stay involved to create the financial structure, management reporting, KPIs and lead the design and implementation of a major software project. The common themes are restructuring operations to enhance profitability, improve cash flow, create better stakeholder relationships and materially enhance enterprise value. During this period, Mr. Ruben completed acquisitions of domestic and international firms on behalf of his clients.
In multiple recent transactions, Mr. Ruben has either directly or indirectly helped clients achieve offers between 50% and 100% higher than the seller’s target price. Through a comprehensive, but bespoke process, value is created as Tony digs deep into the company, to create a compelling, value-enhancing and closable ‘story’. Financial statements are recast to accurately portray the company, maximize value and pass due diligence. A short, executive memorandum or ‘teaser’, and a comprehensive information memorandum or ‘CIM’ are created to drive buyer excitement and create a compelling rationale for maximum offers. Lastly, and most importantly, the right buyers are identified and individually contacted; ‘pitches’ are customized to highlight how the buyer, whether strategic or financial, can benefit from the acquisition of my client company.
In addition to marketing companies for sale, Mr. Ruben has been engaged to ready companies for sale. During the all-important 6-36 months prior to sale, a company can be ‘optimized’ to garner peak interest and value. This process includes an evaluation of strategy, positioning, investment and very often recasting financial statements so as to present in an accurate, profit maximizing and GAAP-consistent manner.
Recent industry engagements include: software, custom manufacturing, convention services, transportation, telecom, hospitality, education, technology, healthcare, construction and realestate development, food service and environmental remediation.
A CPA and CGMA, Mr. Ruben, received a B.S. in Accounting from the University of Illinois and an MBA in Finance and Corporate Strategy from the University of Michigan.
